1. Acceptance of Terms
By using Cloque, you agree to these Terms. We may modify Terms anytime; continued use constitutes acceptance.
2. Eligibility
Cloque is designed for professional use by investigators, security professionals, and similar field workers. You must be 18+ years old. You are responsible for ensuring your use complies with all applicable laws and professional regulations in your jurisdiction.
3. Description of Service
Cloque is a field documentation app designed for discreet note-taking during surveillance and investigation operations. Features include:
- Voice-to-text transcription
- Automatic geolocation tagging
- Contextual time-stamping
- Encrypted local storage
- Stealth mode (instant screen hide)
- QuickMark evidence tagging
- Case organization
- Export capabilities
Cloque is a documentation tool and does NOT provide legal advice, evidence authentication, or professional investigation services.
4. IMPORTANT DISCLAIMER — LEGAL COMPLIANCE
YOU ARE SOLELY RESPONSIBLE FOR LEGAL COMPLIANCE.
Recording laws vary by jurisdiction. Before using Cloque:
- Understand and comply with all applicable federal, state, and local laws regarding recording, surveillance, and evidence collection
- Obtain necessary consents where required by law
- Ensure your use complies with professional licensing requirements
- Consult with legal counsel regarding proper evidence handling
Hatching Point makes no representations about the legal admissibility of any documentation created with Cloque.
5. Free Trial
Cloque offers a free trial period of 7 days from your first use of the app. During the trial, you have full access to all features. After the trial ends, a subscription is required to continue using the app.
6. Subscription Terms
Subscription Options:
- Premium Monthly: Billed monthly
- Premium Yearly: Billed annually (best value)
- Lifetime Access: One-time purchase
Payment & Billing:
- Payment will be charged to your Apple ID account at confirmation of purchase
- Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period
- Your account will be charged for renewal within 24 hours prior to the end of the current period
- The cost of renewal will be the same as the original subscription price unless we notify you of a price change
Managing Your Subscription:
- You can manage and cancel your subscription in your Apple ID Account Settings after purchase
- Go to Settings → [Your Name] → Subscriptions on your iOS device
- Cancellation takes effect at the end of the current billing period
- Any unused portion of a free trial period will be forfeited when you purchase a subscription
Refunds:
- All purchases are final. Refunds are only provided as required by applicable law or Apple's refund policies
- To request a refund, contact Apple Support directly through reportaproblem.apple.com
Price Changes:
- Prices are subject to change. We will notify you of any price changes before your next renewal
- Continued use after a price change constitutes acceptance of the new price
7. User Conduct
You agree to:
- Use the Service for lawful purposes only
- Comply with all applicable recording and privacy laws
- Maintain device and account security
- Accept responsibility for all content you create
- Obtain necessary permissions before recording
You agree NOT to:
- Use for any illegal surveillance or recording
- Violate any person's privacy rights
- Reverse engineer the Service
- Attempt unauthorized access
- Transmit harmful or malicious content
- Interfere with Service operations
- Use automated access or scraping
- Sublicense or resell access
8. Data Ownership
All notes, recordings, and case data you create remain your exclusive property. Since all data is stored locally on your device, you maintain complete control and ownership.
You are responsible for:
- Backing up important data
- Securing your device
- Maintaining chain of custody for evidence
- Proper handling of sensitive information
9. Intellectual Property
The Service is owned by Hatching Point and protected by intellectual property laws. Cloque, its logo, and all related marks are trademarks of Hatching Point.
10. DISCLAIMER OF WARRANTIES
SERVICE PROVIDED "AS IS" WITHOUT WARRANTIES.
We disclaim:
- Implied warranties of merchantability/fitness
- Non-infringement warranties
- Warranties of uninterrupted/error-free service
- Warranties about transcription accuracy
- Warranties about location accuracy
- Warranties about legal admissibility of documentation
- Warranties about stealth mode effectiveness
Use at your own risk.
11. LIMITATION OF LIABILITY
HATCHING POINT NOT LIABLE FOR:
- Indirect, incidental, special, consequential, punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages from use/inability to use Service
- Inaccurate transcriptions or location data
- Data loss due to device failure or theft
- Legal consequences from improper use
- Evidence inadmissibility
- Failure of stealth mode to prevent observation
MAXIMUM LIABILITY: Greater of $100 or 12 months of fees paid.
12. Indemnification
You indemnify Hatching Point against claims arising from your use of the Service, violations of these Terms, illegal recording or surveillance, improper evidence handling, or violation of any third party's rights.
13. DISPUTE RESOLUTION & ARBITRATION
Disputes resolved through binding individual arbitration (AAA rules), not court.
CLASS ACTION WAIVER: You waive the right to participate in class actions.
Opt-out: Email inquiry@hatchingpoint.com within 30 days of first use.
14. Governing Law
Delaware law governs. Non-arbitration actions shall be brought in Delaware courts.
15. Termination
We may terminate access anytime for violations. Upon termination: access ceases, prior fees due, your local data remains on your device, survival clauses remain in effect.
16. Third-Party Services
Apple services (Speech Recognition, Location, App Store) are subject to Apple's terms. We're not responsible for third-party services.
17. Severability
Invalid provisions will be struck; the remainder remains enforceable.
18. Entire Agreement
These Terms + our Privacy Policy constitute the entire agreement.
